Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the CallCenturion platform and related services.

CallCenturion is a cloud-based communications platform that provides virtual telephone numbers, call routing, voicemail, call screening, AI-assisted call handling, messaging services and related telecommunications functionality.

CallCenturion is operated by XBOTEL Limited (“XBOTEL”, “we”, “us”, or “our”).

By creating an account, accessing or using CallCenturion, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the service.

3. Description of Service

CallCenturion provides cloud-based communications services which may include:

  • Virtual telephone numbers
  • Call routing and forwarding
  • Voicemail services
  • Call screening
  • AI-assisted call handling
  • Call transcription
  • Call summaries
  • Call recording
  • Messaging services
  • WhatsApp integrations
  • Analytics and reporting
  • Third-party integrations

We may modify, improve, add or remove features from time to time. Certain features may be designated as beta, preview or experimental features and may be subject to additional conditions.

4. Account Registration

To access certain features of CallCenturion, you must create an account. You agree to:

  • Provide accurate and complete information
  • Keep account credentials secure
  • Maintain accurate account details
  • Promptly notify us of unauthorised access or security incidents

You are responsible for all activity occurring under your account.

5. Telephone Numbers and Number Portability

5.1 Ownership of Numbers

Telephone numbers allocated to you through CallCenturion remain the property of the relevant telecommunications provider, numbering authority and/or CallCenturion.

Your subscription grants you a limited, non-exclusive, non-transferable right to use the allocated telephone number for the duration of your active CallCenturion service, subject to these Terms, applicable laws, carrier requirements and regulatory rules.

You do not acquire ownership of any telephone number allocated through CallCenturion.

5.2 Porting Numbers Into CallCenturion

Where you request to transfer, or “port”, an existing telephone number into CallCenturion, you confirm that:

  • You are authorised to port the number;
  • The number is eligible for porting;
  • All information supplied during the porting process is accurate and complete;
  • You have authority from the account holder or registered user of the number, where applicable.

CallCenturion will use reasonable efforts to facilitate number porting, but does not guarantee that any port request will be accepted, completed or completed within a particular timeframe.

Porting may be delayed, rejected or prevented due to third-party carrier requirements, incorrect information, regulatory restrictions, contractual restrictions, outstanding charges, technical limitations or circumstances beyond our reasonable control.

5.3 Porting Numbers Away From CallCenturion

Subject to applicable law and industry procedures, customers may request the transfer, or “port out”, of an eligible telephone number to another telecommunications provider.

To facilitate a port-out request:

  • Your CallCenturion account must be active and in good standing;
  • Any outstanding charges relating to the service must be paid in full;
  • The port-out request must be submitted through the gaining provider in accordance with applicable industry procedures;
  • You must provide any required information reasonably necessary to validate and process the request;
  • Administrative fees may apply where permitted by law and will be disclosed in advance where applicable.

CallCenturion will cooperate with reasonable and valid port-out requests in accordance with applicable telecommunications regulations and carrier processes.

5.4 Service Termination and Number Retention

If your CallCenturion service is cancelled, suspended, terminated or expires without a valid port-out request being completed, CallCenturion may reclaim, release or reassign the telephone number after a reasonable period.

Customers wishing to retain a telephone number should initiate and complete a port-out request before cancellation or termination of the relevant service.

CallCenturion is not responsible for loss of access to a number where a customer fails to complete a valid port-out request before service termination.

5.5 Number Changes, Withdrawal or Reassignment

CallCenturion reserves the right to change, replace, withdraw, reclaim or reassign a telephone number where required by:

  • A telecommunications provider;
  • A numbering authority;
  • A regulator;
  • Applicable law;
  • Technical necessity;
  • Suspected misuse or fraud;
  • Non-payment;
  • Service termination;
  • Circumstances beyond our reasonable control.

Where practicable, CallCenturion will provide reasonable notice before changing, withdrawing or reassigning a number.

5.6 No Guarantee of Number Availability

CallCenturion does not guarantee the availability, continued availability, portability, geographic classification, regulatory status or long-term assignment of any telephone number.

Number availability and portability are subject to carrier, regulatory and technical constraints.

6. Acceptable Use

You agree not to use CallCenturion:

  • For unlawful purposes
  • To engage in fraud, deception or abuse
  • To transmit spam or unsolicited communications
  • To harass, threaten or impersonate others
  • To violate telecommunications regulations
  • To interfere with platform security
  • To distribute malicious software
  • To conduct robocalling or automated calling campaigns in violation of applicable law

We may suspend or terminate accounts engaged in prohibited activities.

7. Customer Responsibilities

Customers are solely responsible for:

  • Communications sent or received through the platform
  • Compliance with telecommunications laws
  • Compliance with privacy and data protection laws
  • Marketing and messaging compliance
  • Obtaining required permissions or consents
  • The content of communications transmitted through the service

Customers must ensure their use of CallCenturion complies with all applicable laws and regulations.

8. Call Recording and Transcription

CallCenturion may provide call recording, voicemail recording, call transcription, voicemail transcription and AI-generated summaries.

Customers using these features are responsible for:

  • Informing callers where required
  • Obtaining consent where legally required
  • Complying with local recording laws
  • Complying with privacy and telecommunications regulations

XBOTEL is not responsible for how customers use recording, monitoring or transcription functionality.

9. Artificial Intelligence Features

Certain CallCenturion features may utilise artificial intelligence technologies to provide call summaries, transcriptions, spam detection, call classification, automated routing recommendations and other communication insights.

AI-generated outputs are provided for convenience only. Customers acknowledge that:

  • AI-generated outputs may contain errors or inaccuracies
  • AI outputs should not be relied upon as the sole basis for legal, financial, medical or business decisions
  • XBOTEL does not guarantee the accuracy, completeness or reliability of AI-generated outputs

10. Messaging Services

CallCenturion may provide messaging functionality, including integrations with third-party messaging platforms such as WhatsApp Business. Use of such services may also be subject to the terms, policies and restrictions imposed by the relevant third-party provider. XBOTEL is not responsible for interruptions, restrictions or changes imposed by third-party messaging providers.

11. Emergency Services

CallCenturion is not intended to replace traditional fixed-line or mobile telephone services. The service may not support emergency calling services including, but not limited to, 112, 999 and 911.

Customers must not rely on CallCenturion for emergency communications. XBOTEL accepts no liability arising from the inability to access emergency services through the platform.

12. Service Availability

The service is provided on an “as available” basis. While we aim to provide a reliable service, we do not guarantee continuous availability, error-free operation, uninterrupted communications or successful delivery of all calls or messages.

Service interruptions may occur due to maintenance, carrier outages, cloud infrastructure failures, internet connectivity issues, third-party service disruptions or events beyond our reasonable control.

Unless expressly agreed in writing, service interruptions do not entitle customers to refunds, credits or compensation.

13. Third-Party Services

The platform may depend on or integrate with third-party services including telecommunications carriers, cloud infrastructure providers, payment processors, messaging providers, artificial intelligence providers and analytics platforms. XBOTEL is not responsible for the performance, availability or policies of third-party services.

14. Fees, Billing and Subscriptions

Certain features require payment. Where applicable:

  • Pricing will be displayed before purchase
  • Subscription fees are billed in advance
  • Charges must be paid when due
  • Taxes may apply in addition to published prices

We may suspend or restrict access to services for overdue accounts. Unless otherwise required by law, fees are non-refundable.

Subscriptions automatically renew unless cancelled before the next billing cycle. Customers may cancel future renewals through their account settings or by contacting support.

15. Intellectual Property

All intellectual property rights relating to CallCenturion remain the property of XBOTEL Limited or its licensors. This includes software, source code, documentation, branding, logos, website content and platform designs.

Customers may not copy, reverse engineer, modify, resell or distribute any part of the service except as expressly permitted.

16. Privacy and Data Processing

Use of CallCenturion is subject to our Privacy Policy. Where XBOTEL processes personal data on behalf of customers, such processing is governed by our Privacy Policy and any applicable Data Processing Agreement. Customers acknowledge that they may act as Data Controllers in relation to communications processed through the platform.

17. Beta and Experimental Features

From time to time, we may make beta, preview or experimental features available. Such features may be incomplete, may change without notice, may be withdrawn at any time and may not achieve the same performance levels as production features. Use of beta features is at the customer’s own risk.

18. Limitation of Liability

To the maximum extent permitted by law, XBOTEL shall not be liable for indirect losses, consequential losses, loss of profits, loss of revenue, loss of goodwill, loss of business opportunity, loss of data, loss arising from carrier failures or loss arising from third-party service failures.

CallCenturion is provided “as is” and “as available”. XBOTEL does not guarantee that calls, messages, recordings, transcripts, summaries or data will always be delivered, transmitted, recorded, stored or retrievable.

Our total aggregate liability arising out of or relating to the service shall not exceed the amount paid by the customer to XBOTEL during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

19. Indemnity

You agree to indemnify and hold harmless XBOTEL Limited, its directors, employees and contractors from claims, liabilities, losses, damages and expenses arising from your use of the service, your breach of these Terms, your violation of applicable law or communications transmitted through your account.

20. Suspension and Termination

We may suspend, restrict or terminate access to the service if these Terms are breached, payment obligations are not met, fraudulent or unlawful activity is suspected, telecommunications regulations require action or platform security is at risk.

You may stop using the service at any time. Termination does not affect accrued rights or obligations.

21. Force Majeure

XBOTEL shall not be liable for delays or failures caused by events beyond our reasonable control, including carrier outages, internet failures, power failures, natural disasters, government actions, labour disputes, cybersecurity incidents or cloud infrastructure failures.

22. Changes to These Terms

We may update these Terms from time to time. Updated versions will be published on our website and become effective upon publication unless otherwise stated. Continued use of the service following publication constitutes acceptance of the revised Terms.

23. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the Irish courts.

24. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

25. Entire Agreement

These Terms, together with the Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between the parties relating to the use of CallCenturion.
